These Affiliate Program Terms & Conditions (“Terms” or “Agreement”) govern your participation in the affiliate partner program (the “Program”) operated by Vantage Education (“Vantage Education,” “Company,” “we,” “us,” or “our”) via our website and online learning platform at myvantageprep.com.

By submitting an application or participating as an affiliate partner (“Affiliate,” “you,” or “your”), you agree to be legally bound by this Agreement.

“Affiliate Dashboard” means the administrative portal provided to you (powered by LearnWorlds) where you access your unique referral links, track conversion metrics, and view commission records.

“Affiliate Link” means the unique tracking URL or code assigned to you by Vantage Education to track referrals to our Services.

“Commission” means the referral fee earned on Qualifying Purchases under Section 5 of this Agreement.

“Confidential Information” means all proprietary, technical, operational, student, and business information disclosed by Vantage Education to the Affiliate, whether orally or in writing, that is designated as confidential or should reasonably be understood to be confidential.

“Net Sales Revenue” means the actual amount received by Vantage Education from a customer for a Qualifying Purchase, minus discounts, refunds, payment gateway transaction fees, chargebacks, and applicable taxes.

“Qualifying Purchase” means an initial purchase of an eligible Vantage Education course, digital subscription, or educational program completed by an end user who visited our site through your valid Affiliate Link and met the requirements in Section 4.

“Services” means the educational programs, self-paced masterclasses (such as Vantage One), diagnostic mock testing packages, and tutoring services offered by Vantage Education.

2.1 Application: You must provide accurate, current, and complete registration information during sign-up. We reserve the right to verify your identity, website, social channels, or educational consulting organization.

2.2 Sole Discretion: Vantage Education reserves the right to approve, reject, or terminate any affiliate application at any time, for any reason.

2.3 Prohibited Content: Applications will be rejected or immediately terminated if your marketing channels or websites feature content that:

• Promotes unlawful, violent, harassing, hateful, or discriminatory materials;
• Is sexually explicit or inappropriate for minor students;
• Promotes academic dishonesty, test leaks, cheating tools, or infringes upon third-party intellectual property (including College Board / SAT copyrights); or
• Dilutes, disparages, or misrepresents the reputation of Vantage Education.

Nothing in this Agreement creates any joint venture, partnership, agency, franchise, sales representative, or employment relationship between you and Vantage Education. You have no authority to accept offers, bind Vantage Education, or make representations on our behalf. You are solely responsible for your own expenses, business activities, and tax reporting.

4.1 Attribution: Referral tracking is administered via cookie technology through the LearnWorlds platform[cite: 1]. A Qualifying Purchase is attributed to you only when a student or parent accesses our site through your specific Affiliate Link and completes a valid purchase within the cookie attribution window.

4.2 Cookie Duration: The standard tracking cookie duration is [30 days] from the initial click, provided the visitor has not cleared their browser cookies or used another affiliate's link subsequently (attribution follows a last-touch model).

4.3 Technical Limitations: Vantage Education is not liable for tracking failures resulting from ad-blockers, private/incognito browsing, disabled cookies, or user failure to use your designated tracking link.

5.1 Commission Rate: Subject to compliance with these Terms, you will earn a Commission of [X]% of Net Sales Revenue generated on Qualifying Purchases of eligible programs (such as Vantage One digital courses). (Custom commission rates may be agreed upon in writing for specific educational partners or institutions.)

5.2 Holding / Refund Period: Because Vantage Education provides customer dispute and refund windows, Commissions are placed on temporary hold for [30 to 60 days] following the transaction date to account for cancellations, chargebacks, or refunds.

5.3 Payment Schedule: Approved commissions will be distributed on a monthly basis once the holding period has elapsed, provided your accrued balance meets the minimum payout threshold of [$50 USD].

5.4 Payment Method: Payouts are delivered electronically (typically via PayPal or direct electronic transfer). You must maintain valid payment details on your Affiliate Dashboard. You are responsible for all banking, currency conversion, or processing fees imposed by your payout provider.

5.5 Clawbacks: If a customer initiates a chargeback, refund, or fraudulent transaction on an order for which you received Commission, Vantage Education reserves the right to deduct that amount from your future earnings or request repayment.

To protect our brand equity, academic integrity, and search visibility, you agree to abide by the following restrictions:

6.1 Paid Search & PPC Bidding: You are strictly prohibited from bidding on pay-per-click (PPC) keywords containing our brand names, trademarks, or close variations thereof (e.g., “Vantage Education,” “Vantage Prep,” “Vantage One,” “Mocktagon,” “myvantageprep,” or any combination) on Google Ads, Bing Ads, Meta Ads, or other search engines.

6.2 Domain & Social Impersonation: You may not register domain names, social media handles, or mobile app titles that incorporate “Vantage Education” or “Vantage Prep,” or make it appear as though your account is an official Company entity.

6.3 Discount & Coupon Hijacking: You may not promote unauthorized coupon codes or list our services on public coupon aggregator sites (e.g., Honey, RetailMeNot) without express written consent.

6.4 Spam & Prohibited Solicitations: You must strictly comply with all anti-spam laws (including the CAN-SPAM Act). Unsolicited bulk emailing, mass forum posting, or unsolicited direct messaging is grounds for immediate forfeiture of earnings and termination.

6.5 FTC & Regulatory Disclosures: You must clearly and conspicuously disclose your affiliate relationship with Vantage Education on all promotional pages, social media posts, videos, and articles, in full compliance with Federal Trade Commission (FTC) endorsement guidelines (e.g., clearly displaying #ad, #affiliate, or a prominent sponsorship disclosure).

7.1 Limited License: Vantage Education grants you a revocable, non-exclusive, non-transferable, royalty-free license during the Term to display our approved affiliate banners, logos, and promotional assets solely for directing traffic to our site.

7.2 Reservation of Rights: All intellectual property, trademarks, curriculum contents, videos (Vantage One), test simulations, and platform software remain the exclusive property of Vantage Education[cite: 1]. You may not alter, screen-record, redistribute, or create derivative works from our course materials.

8.1 Term: This Agreement commences upon your acceptance or approval into the Program and continues until terminated by either party.

8.2 Termination by Notice: Either party may terminate this Agreement at any time, with or without cause, upon [7] days’ written notice via email.

8.3 Immediate Termination for Breach: Vantage Education may terminate your affiliate status immediately and withhold/forfeit unpaid commissions if you breach Section 6 (Marketing Restrictions), misrepresent program pricing, engage in fraudulent transactions, or compromise student data protection standards.

8.4 Effect of Termination: Upon termination, your tracking links become inactive, all licenses to use Vantage Education branding cease immediately, and any legitimate, verified commissions earned prior to termination will be paid during the subsequent payout cycle.

9.1 "As Is": The Program, tracking systems, and Services are provided on an “as is” and “as available” basis without warranty of any kind. We do not guarantee uninterrupted platform uptime, error-free tracking, or specific earning levels.

9.2 Limitation of Liability: To the maximum extent permitted by applicable law, Vantage Education shall not be liable for indirect, incidental, punitive, or consequential damages (including loss of revenue, data, or anticipated profits) arising out of or related to this Agreement. Our aggregate liability under this Agreement shall not exceed the total Commissions paid to you in the six (6) months preceding the claim.

This Agreement shall be governed by and construed in accordance with the laws of the State of California (or the applicable governing jurisdiction of the Company’s primary legal registration), without regard to conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be resolved through good-faith negotiation, and if necessary, binding arbitration or the competent courts of the governing jurisdiction.

We reserve the right to amend these Terms & Conditions, commission percentages, payout schedules, or tracking procedures at any time. When modifications are made, we will update the “Last Updated” date at the top of this page. Your continued participation in the Program following notice or publication of revised Terms constitutes your binding acceptance of the changes.
